MAXSIM TERMS OF SERVICE

1. Introduction

MAXSIM™ is a product-platform delivered at maxsim.cloud as a cloud-computing service.

By creating an user account, you ("Customer") accept these Terms.

2. Status

MAXSIM is in early-access version and may contain defects or experience outages.

You use MAXSIM at your own risk and agree to provide feedback that helps us improve.

3. Availability

MAXSIM has 95% monthly uptime availability or refund the cost of the last month.

4. Use

You may deploy websites, APIs, databases, containers, and related workloads, provided they:

• Comply with Spanish law.
• Do not infringe third-party rights, distribute malware, or facilitate prohibited content.
• Do not overload, probe, or abuse the platform or network.

5. Pricing

Initial user registration costs a one-time fee of 50 euros.

MAXSIM may modify pricing for the next month at any time.

Taxes not included. Consumed units are rounded up. Prices are rounded down.
MB = Megabytes, GB = Gigabytes.

6. Intellectual Property

You retain all rights to your app code, data, and content you upload or generate with MAXSIM AI.

MAXSIM retains all rights to the cloud platform, artificial intelligence technology, documentation, templates and tools.

MAXSIM is a European trademark registered by us.

7. Privacy

MAXSIM act as data processor; you are data controller.

To enable AI-assisted features, you grant MAXSIM a non-exclusive worldwide licence to share database, software, messages, and contextual metadata with the following external processors:
- Cerebras Systems, Inc.
- OpenAI, Inc.
- xAI, Inc.
- CloudFlare, Inc.
- Google, LLC.

8. Security

MAXSIM has encryption in transit (TLS/SSL) and rest (AES-256).

MAXSIM daily backups are stored in remote locations with files encrypted with GPG (AES-256) with private keys isolated by hardware.

MAXSIM reserves the right to disconnect your systems at any time if we detect a security vulnerability that we consider dangerous.

MAXSIM is not responsible for errors caused by AI hallucinations.

9. Termination

MAXSIM may suspend or terminate your account at any time. Unused credits are refundable.

10. Warranty Disclaimer

MAXSIM is provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement.

11. Liability

To the maximum extent permitted by law, MAXSIM total aggregate liability for any claim arising out of or relating to the Service is limited to the fees you paid to MAXSIM in the 12 months preceding the event. We are not liable for indirect, special, or consequential damages, loss of profits, or loss of data.

12. Jurisdiction

These Terms are governed by Spanish Law. Any dispute shall be submitted to the Courts of Madrid, Spain, unless mandatory consumer law provides otherwise.

MAXSIM will do the best to comply with restrictions by jurisdictions for data protection.

13. Changes to Terms

We may update these Terms at any moment, continued use constitutes acceptance.
